Terms of service
In plain words: you run your business, we run the software and move the money you are owed. Your data and your customers are yours, you can leave whenever you like and take both, and we tell you before anything about this changes.
This is a draft. It says what Smilelink actually does, written plainly, and it is with our lawyers. The signed version publishes here before anyone can sign up, with the date it takes effect.
Who this is between
This agreement is between the business that signed up and the company operating Smilelink. The person who signs up must be authorised to bind the business.
What Smilelink provides
Software for taking orders, issuing invoices, collecting payment, recording expenses and keeping accounts, and the payment and payout rails those depend on.
We are not a bank and we do not lend. We hold your balance so that you can be paid and can pay out, and merchant funds are held separately from company funds.
We do not provide accounting advice, tax advice or legal advice. The statements and schedules we prepare are for your accountant to use, not a substitute for one.
What you are responsible for
The accuracy of what you enter — prices, stock counts, cash expenses and anything recorded outside Smilelink.
Your obligations to your own customers: what you sell, how you deliver it, refunds and disputes are between you and them.
Keeping your account secure, and the actions of the staff you give access to.
Complying with the law that applies to your trade, including the licences it requires.
Fees
The plan price and the transaction rate are published in full on the pricing and fee pages. Those pages are the fee schedule.
If a fee changes, we tell you at least thirty days before it takes effect, in writing.
Acceptable use
The acceptable use policy forms part of this agreement. Trades that require a licence we cannot verify, and the categories listed in that policy, are not permitted.
Your data, and leaving
Your business data, your customer records and your books belong to you. You can export all of it at any time, in formats your accountant can open.
You can close your account at the end of any month. A domain you registered through Smilelink goes with you, including one we paid for.
We keep transaction records for as long as the law requires us to, and no longer than that.
When we can suspend an account
Where we are required to by law or by a regulator; where an account is being used for a prohibited trade; or where there is credible evidence of fraud against a customer or against us.
We tell you why, and what you can do about it.
Liability
We are liable for our own failures to provide the service as described, to the extent the law allows. We are not liable for the commercial outcomes of your business, for what your customers do, or for figures you entered incorrectly.
Changes to this agreement
We publish changes here with the date they take effect, and tell you before material ones. Continuing to use Smilelink after that date is acceptance.
